Affiliate Program Terms & Conditions

These Affiliate Program Terms & Conditions (the "Affiliate Terms") govern your participation in the Propr Affiliate Program. By registering as an affiliate and promoting Propr services, you agree to be bound by these terms.

Propr Limited is a company established and existing under the laws of the British Virgin Islands (hereinafter "Propr", "we", "us", or "our").

2. AFFILIATE PROGRAM OVERVIEW

2.1. The Propr Affiliate Program allows you to earn Commissions by referring new users to Propr services. You will receive a revenue share percentage of purchases made by Referred Users.

2.2. Commission rates, payout structures, and eligibility criteria are defined on the Platform and may be updated at our discretion.

2.3. Your participation in the Affiliate Program does not create an employment, partnership, joint venture, or agency relationship between you and Propr.

3. AFFILIATE ELIGIBILITY

3.1. To participate in the Affiliate Program, you must:

• a) Be at least eighteen (18) years of age;
• b) Have a valid account on the Propr Platform;
• c) Comply with all applicable laws and regulations in your jurisdiction;
• d) Not be a resident of a Restricted Jurisdiction as defined in the Propr Terms & Conditions; and
• e) Successfully complete Know Your Customer (KYC) verification before receiving any Commission payouts.

3.2. We reserve the right to reject or terminate any affiliate application or participation at our sole discretion.

4. COMMISSION STRUCTURE AND PAYMENTS

4.1. Commission rates and structures are displayed on your affiliate dashboard within the Platform. Commissions are calculated based on qualifying purchases made by Referred Users.

4.2. A "qualifying purchase" means a completed transaction by a Referred User for Propr evaluation programs or other paid services, excluding refunded, disputed, or fraudulent transactions.

4.3. Commissions are tracked in real-time on your affiliate dashboard. Payout requests may be subject to minimum withdrawal thresholds as specified on the Platform.

4.4. All Commission payouts are processed in USDC on-chain to your designated wallet address. You are responsible for providing a valid wallet address and for any network fees associated with the transfer.

4.5. Commission payouts are processed on a regular schedule as defined on the Platform. We reserve the right to withhold or delay payouts if we suspect fraudulent activity, terms violations, or incomplete KYC verification.

4.6. You are solely responsible for any tax obligations arising from Commission payments. Propr does not withhold taxes on affiliate payments.

5. PROHIBITED AFFILIATE PRACTICES

5.1. When promoting Propr services, you must NOT:

• a) Engage in self-referrals: Using your own Affiliate Link to create accounts, make purchases, or generate fraudulent commissions;
• b) Use misleading marketing: Making false, deceptive, or exaggerated claims about Propr services, guaranteed profits, or risk-free trading;
• c) Engage in spam: Sending unsolicited emails, messages, or communications promoting your Affiliate Link;
• d) Bid on trademarked terms: Using "Propr" or related brand terms in paid search advertising without prior written approval;
• e) Infringe intellectual property: Using Propr trademarks, logos, or copyrighted materials without authorization;
• f) Violate platform policies: Promoting Propr on platforms where such promotion violates their terms of service;
• g) Engage in cookie stuffing: Using technical methods to artificially inflate referrals or manipulate tracking; or
• h) Provide financial advice: Representing yourself as providing investment, financial, or legal advice in connection with Propr services.

5.2. Violation of these prohibited practices may result in immediate termination of your affiliate account, forfeiture of pending Commissions, and potential legal action.

6. AFFILIATE MARKETING GUIDELINES

6.1. You must clearly and conspicuously disclose your affiliate relationship with Propr in accordance with applicable advertising and disclosure laws (e.g., FTC guidelines in the United States).

6.2. All promotional content must be accurate, truthful, and not misleading. You must not make any claims about Propr services that are not substantiated or approved by Propr.

6.3. You agree to comply with all applicable data protection and privacy laws when collecting, processing, or storing personal information in connection with your affiliate activities.

6.4. We may provide you with marketing materials, banners, and creatives for promotional purposes. You may only use these materials as authorized and may not modify them without our prior written consent.

7. TRACKING AND ATTRIBUTION

7.1. Referred Users are tracked via cookies, unique identifiers, or other tracking mechanisms embedded in your Affiliate Link.

7.2. Cookie duration and attribution windows are defined on the Platform. Only purchases made within the valid attribution window will be eligible for Commissions.

7.3. We reserve the right to modify tracking mechanisms, attribution models, and cookie durations at any time. We are not responsible for technical issues, browser settings, or user actions that prevent proper tracking.

8. TERMINATION

8.1. Either party may terminate your participation in the Affiliate Program at any time:

• a) By you, by providing written notice to Propr and ceasing all promotional activities;
• b) By Propr, immediately and without notice, if you breach these Affiliate Terms or engage in prohibited practices.

8.2. Upon termination, you must immediately cease using all Affiliate Links, marketing materials, and Propr branding.

8.3. Commissions earned prior to termination will be paid out in accordance with the normal payout schedule, provided you remain in compliance with these terms. Pending Commissions may be forfeited if termination is due to your breach of these terms.

9. INTELLECTUAL PROPERTY

9.1. All Propr trademarks, logos, and branding materials remain the exclusive property of Propr. You are granted a limited, non-exclusive, non-transferable, revocable license to use these materials solely for promoting Propr services in accordance with these terms.

9.2. You may not register, use, or attempt to register any domain names, social media handles, or other identifiers that include "Propr" or confusingly similar variations without our prior written consent.

10. LIMITATION OF LIABILITY

10.1. To the fullest extent permitted by law, Propr shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your participation in the Affiliate Program, including lost profits or lost commissions.

10.2. Our total liability to you for any claims arising from the Affiliate Program shall not exceed the total Commissions paid to you in the twelve (12) months preceding the claim.

11. INDEMNIFICATION

11.1. You agree to indemnify, defend, and hold harmless Propr and its affiliates from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your breach of these Affiliate Terms, your promotional activities, or your violation of any applicable laws.

12. MODIFICATIONS

12.1. We reserve the right to modify these Affiliate Terms, Commission structures, payout schedules, or any other aspect of the Affiliate Program at any time. Changes will be effective upon posting to the Platform. Your continued participation constitutes acceptance of the modified terms.

13. GOVERNING LAW AND JURISDICTION

13.1. These Affiliate Terms are governed by and construed in accordance with the laws of the British Virgin Islands.

13.2. Any disputes arising from these Affiliate Terms or your participation in the Affiliate Program shall be subject to the exclusive jurisdiction of the courts of the British Virgin Islands.

14. GENERAL PROVISIONS

14.1. These Affiliate Terms constitute the entire agreement between you and Propr regarding the Affiliate Program and supersede all prior agreements and understandings.

14.2. If any provision of these Affiliate Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.3. Our failure to enforce any provision of these terms does not constitute a waiver of that provision or any other provision.
